Introduction

The Executive Board or EB for short was formed as the network's governing body to administrate and co-ordinate the network operations on ChatX. However, it must be reminded that final decisions on major matters will be subject to the Administration's approval.

EB is a panel of staff who oversees the network's day to day operations and acts as a mediator in disputes among the Admins Council and advisory panel for the Administration. Under normal circumstances, the EB does not override decisions made by the majority of staff unless there is a need e.g. disputes where a meeting will be held.

For example, EB will not override CFV outcome by majority of the Admins Council. However, it will hold a meeting in the event a dispute is raised in regards to the outcome. It is not usual for the EB to override Admins Council decisions unless there are strong grounds in overturning the decision in which the EB will seek advise from the Administration Body.

Membership and term

Membership to the EB will need to go through a Call for Vote (CFV) where all permanent IRC Operators (minimum local operator) will hold a vote. Successful candidates will need approval from the Administration Body. The EB can hold up to 5 members at a time up to a term of 1 year.

An election will be called 2 weeks before the end of the current EB's term is reached and a CFV will be held. Candidates need to be at least a global operator for more than 2 months. It is not a requirement for the candidate to be a Server Administrator.

Current members for the current term- 1 April 2008 to 31 December 2008 are:

  • DreamHealer
  • Dazed
  • Giorgos
  • LivingSouL
  • ReD-EviL

In a CFV, the present EB members can be voted back if they are voted. Note that EB members cannot vote for themselves. There is no limit to the number of times a candidate can be voted back to EB.

It is not necessary for all 5 seats to be occupied but the minimum number is 3 and the maximum is 5. In the event a member resigns or is removed, it will not be necessary to add a replacement. The outgoing member can recommend his/her successor but the EB is not obliged to add the successor as this will only be decided by the Admins Council's CFV.

Removal from EB

Removal from EB can be done for the following reasons:

  • No confidence call
  • Gross misconduct
  • Violation of ChatX's Policies
  • Abuse of Power

A CFV will need to be held by the Admins Council to decide on removal of such. If the person in question wishes to dispute the action taken against him or her, they may bring this up with the Administration. The decision made by the Administration will be final.

Responsibilities of EB members

  • Keeping himself or herself updated on ChatX policies, procedures and programs.
  • Subscribe to and participate on the EB mailing list.
  • Voting in ALL official CFV's required.
  • Attend EB meetings.
  • Assist the Founder and CEO in providing for the strategic decision and planning of ChatX committees/departments.
  • Ensuring the day to day operations flow is in smooth order.
  • Allocating resources to fulfill current network policies and practices.
  • Prepare for contigency and backup plans.
  • Formulate doctrine and training policies and coordinate staff education and training.
  • Determine and direct efforts needed to fulfill current and future network requirements and objectives.
  • Exercise leadership in maintaining a high degree of competence among ChatX staff.
  • Maintain the morale and motivation of ChatX staff.
  • Mediate disputes among staff that have been brought to the EB.

EB members can:

  • Make final decisions in all disputes raised by any parties.
  • discipline any staff.
  • act on behalf of the Founder/CEO in emergency situations.

EB members cannot:

  • override Founder/CEO/COO/DNO made decisions.
  • request special access (services/team lead positions).
  • add opers without informing admins@.
  • use aggressiveness in time of duty.
  • link/delink servers without proper consultation with routing@ and admins@ (except in emergency situations).
  • amend policies without consulting the Executive Board team as a whole.
  • intervene in department related issues unless asked for advise.

Miscellaneous

  • The EB will submit a monthly report on the network's activities to the Founder/CEO and to the staff on each department's progress and the network's development. Note that confidential matters will not be brought to the entire staff.
  • EB meetings should be held at least once a month with its members and the CEO/Founder taking turns in chairing and taking the minutes.
